1. Introduction and Acceptance of Terms

Welcome to PIZZACINI ("PIZZACINI," "we," "us," or "our"), an authentic Italian frozen pizza brand operated by PIZZACINI Corp., a Florida C Corporation. These Terms and Conditions of Use ("Terms") govern your access to and use of our website, any associated mobile applications, and all related services (collectively, the "Site"), which is hosted and operated through the Shopify e-commerce platform.

BY ACCESSING OR USING THE SITE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS IN THEIR ENTIRETY. If you do not agree to these Terms, please discontinue use of the Site immediately.

We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated effective date. Your continued use of the Site after any such modifications constitutes your acceptance of the revised Terms.

3. E-Commerce Platform — Shopify

Our Site and online store are powered by Shopify Inc. ("Shopify"), a third-party e-commerce platform. By using our Site and placing orders, you acknowledge that certain aspects of your experience — including checkout, payment processing, and account management — are governed not only by these Terms but also by Shopify's own Terms of Service and Privacy Policy, available at shopify.com.

PIZZACINI Corp. is not responsible for any interruptions, errors, or limitations in Site functionality caused by Shopify's platform infrastructure, scheduled maintenance, or service outages. In the event of a platform-related disruption that prevents order processing, we will make commercially reasonable efforts to notify affected customers and fulfill pending orders as promptly as possible once service is restored.

Shopify may process certain personal data on our behalf as a data processor. Please refer to Shopify's Privacy Policy for details on how they handle data collected through the checkout and payment process.

4. Products, Pricing, and Orders

All product descriptions, images, and pricing information on the Site are provided for informational purposes and are subject to change without notice. We make every effort to display our products accurately; however, we do not guarantee that the colors, textures, or other visual characteristics of products displayed on the Site are completely accurate due to the limitations of digital displays.

We reserve the right to refuse, cancel, or limit any order for any reason, including but not limited to product unavailability, errors in product or pricing information, or concerns about fraud or unauthorized activity. If we cancel your order after payment has been processed, we will issue a full refund to your original payment method.

4.1 Promotions, Discount Codes, and Coupons

From time to time, PIZZACINI Corp. may offer promotional discounts, coupon codes, limited-time offers, or special pricing (collectively, "Promotions"). The following terms apply to all Promotions:

• Promotions are offered at the sole discretion of PIZZACINI Corp. and may be created, modified, suspended, or discontinued at any time without prior notice.
• We reserve the right to expire, deactivate, or revoke any coupon code or promotional offer at any time, including after it has been shared publicly, without liability to any customer who has not yet completed a qualifying purchase.
• Promotions may not be combined with other offers unless explicitly stated. Only one discount code may be applied per order unless otherwise specified at checkout.
• Promotions are non-transferable, have no cash value, and may be subject to minimum purchase requirements, product exclusions, or geographic restrictions as disclosed at the time of the offer.
• PIZZACINI Corp. reserves the right to cancel or adjust any order where a Promotion was applied in error, was used in a manner inconsistent with its intended terms, or where fraudulent or abusive use is suspected.

4.2 Order Fulfillment and Shipping Schedule

PIZZACINI Corp. is committed to processing and shipping orders as promptly as reasonably possible; however, we retain sole discretion over the scheduling and timing of order fulfillment. The following shipping schedule policies apply to all orders:

• Business Days: PIZZACINI Corp. fulfills and ships orders on business days only, defined as Monday through Friday, excluding federally recognized U.S. public holidays.
• Weekend Orders: Orders placed on Saturday or Sunday will not be processed until the following Monday. If Monday is a federal holiday, the order will be processed on the next available business day.
• Friday Orders: Orders placed on Friday may ship that same day at our discretion; however, orders not fulfilled by end of business on Friday will be processed and shipped on the following Monday (or next available business day if Monday is a holiday).
• Holiday Orders: Orders placed on or immediately before a federally recognized U.S. public holiday will be processed and shipped on the next available business day following the holiday.
• Processing Times: Order processing (picking, packing, labeling) typically takes one (1) business day before handoff to the carrier. High-volume periods, promotional events, or supply constraints may extend processing time, and we will endeavor to communicate such delays promptly.

PIZZACINI Corp. makes no guarantee of a specific delivery date. Estimated transit times provided at checkout are supplied by the carrier and are not binding commitments. We are not liable for delays caused by carrier operations, weather events, or other circumstances outside our control.

5. Limitation of Liability

5.1 General Limitation

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, PIZZACINI AND ITS PARENT COMPANY PV BUSINESS CONSULTING, LLC, AND THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, revenue, or anticipated savings;
• Loss of data, use, or goodwill;
• Personal injury or property damage;
• Unauthorized access to or alteration of your transmissions or data;
• Any other intangible losses arising from your use of or inability to use the Site or its content.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THESE TERMS OR YOUR USE OF THE SITE EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO PIZZACINI IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00 USD).

5.2 "As Is" Disclaimer

The Site and all content, products, and services available through it are provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, either express or implied. We expressly disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that: (i) the Site will be available at any particular time or location; (ii) the Site will be error-free or uninterrupted; (iii) defects will be corrected; or (iv) the Site or the servers that make it available are free of viruses or other harmful components.

5.3 Food Safety and Dietary Information

Product descriptions, nutritional information, and dietary labels provided on the Site are informational only and may not account for individual health conditions, allergies, or dietary needs. PIZZACINI is not liable for any health consequences arising from the consumption of our products. Customers with food allergies or medical conditions should consult a qualified healthcare professional before consuming any food product. Please review all packaging labels carefully prior to consumption.

6. Third-Party Shipping and Logistics — Limitation of Liability

6.1 Use of Third-Party Carriers

PIZZACINI ships its products using independent third-party carriers, including but not limited to United Parcel Service ("UPS"), FedEx, USPS, and other freight and courier providers (collectively, "Carriers"). Once an order is tendered to the Carrier and a tracking number has been issued, custody and control of the shipment transfer to the Carrier.

6.2 Carrier Delays, Losses, and Damages

PIZZACINI is not responsible for, and expressly disclaims all liability arising from:

• Delays in delivery caused by the Carrier, including delays resulting from weather events, natural disasters, labor disputes, network congestion, or Carrier operational failures;
• Loss, theft, misdelivery, or damage to products that occurs after the order is tendered to the Carrier;
• Spoilage or quality degradation of perishable or temperature-sensitive products caused by Carrier-induced delays or improper handling during transit;
• Inaccurate or failed delivery attempts due to incorrect or incomplete address information provided by the customer;
• Carrier surcharges, fuel fees, residential delivery fees, or address correction fees applied at the Carrier's discretion.

By placing an order on the Site, you acknowledge and agree that PIZZACINI's responsibility for the product is limited to the point at which the Carrier takes physical possession of the shipment.

6.3 Filing Carrier Claims

If your order is lost, significantly delayed, or arrives damaged, we encourage you to notify us at info@pizzacini.com within 48 hours of the scheduled delivery date. While we will make commercially reasonable efforts to assist you in filing a claim with the Carrier, PIZZACINI does not guarantee any outcome of such claims and is not liable for Carrier claim denials or partial settlements.

Claims for lost or damaged shipments are subject to the Carrier's own terms, conditions, and liability limitations. UPS, for example, limits liability for shipments without declared value to $100 USD per package unless additional insurance has been purchased. PIZZACINI assumes no obligation to purchase additional cargo insurance on behalf of customers unless explicitly agreed upon in writing prior to shipment.

6.4 Cold Chain and Frozen Products

PIZZACINI uses appropriate insulated packaging and dry ice or gel packs for frozen product shipments; however, we cannot guarantee the condition of temperature-sensitive products upon arrival in the event of Carrier delays. PIZZACINI shall not be liable for any product quality issues caused by delays beyond our control. Customers are encouraged to inspect products immediately upon delivery and contact us promptly if there are concerns.

7. Privacy and Data Handling

7.1 Information We Collect

When you use the Site, we may collect the following categories of personal information:

• Identification Data: name, email address, billing and shipping addresses, phone number;
• Transaction Data: purchase history, order details, payment method type (we do not store full credit card numbers);

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or your use of the Site shall be resolved exclusively in the state or federal courts located in Miami-Dade County, Florida, and you hereby irrevocably consent to the personal jurisdiction of such courts.

Before initiating formal legal proceedings, you agree to contact us in good faith at legal@pizzacini.com and attempt to resolve any dispute informally for a period of thirty (30) days. This obligation does not prevent either party from seeking injunctive or other equitable relief to protect intellectual property rights or confidential information.

10. Children's Privacy

The Site is not directed to children under the age of 13. We do not knowingly collect personal information from children under 13. If we become aware that a child under 13 has provided us with personal information, we will delete such information promptly. 11. Indemnification

You agree to defend, indemnify, and hold harmless PIZZACINI, PIZZACINI Corp., and their respective officers, directors, employees, agents, and successors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Site; (b) your violation of these Terms; (c) your violation of any third-party rights, including intellectual property or privacy rights; or (d) any content you submit to or through the Site.

12. Severability and Entire Agreement

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The failure of PIZZACINI to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.

These Terms, together with our Privacy Policy and any other legal notices published on the Site, constitute the entire agreement between you and PIZZACINI with respect to the Site and supersede all prior or contemporaneous communications, agreements, and understandings, whether electronic, oral, or written.

1. Eligibility

To be eligible for our affiliate program, you must:

2. Commission
